Welcome to Kyron. These Terms and Conditions outline the rules and regulations for the use of our services, operated by Kyron (legally registered as Kyron LLC in Wyoming, USA).
By accessing this website and engaging our services, we assume you accept these terms and conditions. Do not continue to use Kyron if you do not agree to take all of the terms and conditions stated on this page.
1. Definitions
- "Company", "We", "Our", "Us" refers to Kyron LLC.
- "Client", "You" and "Your" refers to you, the person or business accessing this website and compliant with the Company’s terms and conditions.
- "Services" refers to the AI automation, data engineering, business intelligence, and consulting services provided by Kyron.
2. Services & Scope of Work
Kyron provides custom backend automation, data pipeline engineering, and AI integration primarily for marketing agencies and B2B clients. The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate written agreement or Statement of Work (SOW) signed by both parties.
We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
3. Payment Terms
Unless otherwise stated in a customized SOW, the following payment terms apply:
- Payments are securely processed via Stripe (accepting Visa, Mastercard, American Express, Apple Pay, and Google Pay).
- For monthly retainers, invoices are due upon receipt at the beginning of the billing cycle.
- For project-based infrastructure builds, a deposit is required before work commences, with milestones billed upon completion.
- Late payments may result in the temporary suspension of services until the account is brought current.
4. Intellectual Property Rights
Upon receipt of full payment, the Client will own the rights to the specific outputs and deliverables created for their business (e.g., custom dashboards, specific data models). However, Kyron retains all intellectual property rights to our proprietary methodologies, pre-existing codebases, underlying AI architectures, and internal tools used to deliver the Services.
5. Confidentiality & Data Security
As a data engineering firm, we take security seriously. Both parties agree to maintain strict confidentiality regarding any proprietary business information, client data, and trade secrets exchanged during the course of the engagement. Kyron agrees to handle all Client data in compliance with standard data protection regulations and will not share, sell, or expose client data to unauthorized third parties or public AI training models.
6. Warranties and Limitation of Liability
Our Services are provided on an "as is" and "as available" basis. While we strive for excellence and build robust systems, Kyron makes no warranties, expressed or implied, regarding the uninterrupted operation of third-party platforms (such as GCP, AWS, Meta APIs, etc.) that our solutions may integrate with.
In no event shall Kyron, nor its directors, employees, or partners, be liable for any indirect, consequential, or incidental damages arising out of the use or inability to use our services, including but not limited to loss of data, loss of revenue, or business interruption.
7. Termination
Either party may terminate the business agreement with written notice as outlined in the specific client contract (typically 30 days for monthly retainers). Upon termination, the Client is responsible for payment for all work completed up to the termination date.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions.
